CharlieTalk Terms of Service

By accessing or using CharlieTalk (the "Platform"), you agree to these Terms of Service ("Terms"), forming a binding agreement with CharlieTalk. If you don't agree, don't use the Platform. Our Privacy Policy, Tutor Policy, Payment and Refund Policy, Community Guidelines, Cookie Policy, and AI Terms are incorporated by reference.
1. Definitions
Student — a Member who books lessons.
Tutor — a Member who offers and delivers lessons ("Tutor Services").
Member Content — anything a Member posts or submits to the Platform.
2. Relationship
CharlieTalk is a marketplace connecting Students and Tutors. We are not a party to agreements between them, and Tutors are independent contractors, not CharlieTalk employees or agents.
3. Changes
We may update the Platform, pricing, or these Terms at any time. Material subscription price changes get 30 days' notice. Continued use after a change means you accept it.
4. Eligibility
You must be 18+ and able to form a binding contract. We screen Tutors in good faith but can't guarantee their conduct or qualifications — use normal caution when interacting with other Members.
5. Our Services
Connection Services — search, booking, and messaging between Students and Tutors.
Payment Services — Credit purchases, payment processing, and dispute support.
AI Features — tutor matching, lesson summaries, pronunciation feedback, and level estimation. AI output can be inaccurate; verify before relying on it.
6. Privacy
Covered by our Privacy Policy.
7. Your Account
Keep your login credentials confidential — you're responsible for all activity on your Account. One Account per person; provide accurate info; no impersonation. Tell us right away about any unauthorized use.
8. CharlieTalk Credits
Credits are a limited, non-transferable license to pay for lessons — not cash, not redeemable except per the Payment and Refund Policy. We may adjust or reverse Credit balances to correct errors or fraud. Trading or transferring Credits outside the Platform is forbidden.
9. Ownership
You own your Member Content; we own the Platform itself (design, code, CharlieTalk-created content). Using the Platform doesn't give you rights to either beyond what's stated here.
10. License to Use the Platform
We grant you a limited, personal, non-transferable license to use CharlieTalk. Don't copy, scrape, reverse-engineer, or resell any part of it without our written permission.
11. Your Content
You keep ownership of what you post, but grant CharlieTalk a license to use, display, and distribute it to operate and promote the Platform. You're responsible for making sure your content doesn't infringe anyone's rights.
12. Rules of Conduct
Don't use CharlieTalk to spam, harass, impersonate, threaten, share someone else's personal info, post hate speech or explicit content, promote self-harm, or discuss politics/religion. Don't scrape the Platform, attempt unauthorized access, spread malware, or book/pay for lessons outside the Platform. Report violations to us — we may remove content or suspend/terminate Accounts.
13. Third-Party Links
We aren't responsible for external sites linked from the Platform.
14. Enforcement
We can suspend or terminate your Account, freeze Credits, or ban you if you violate these Terms — without notice, at our discretion.
15. Disclaimers
The Platform is provided "as is," with no warranties. Students are responsible for choosing their own Tutor; we don't guarantee Tutor quality or qualifications.
16. Limitation of Liability
To the extent allowed by law, we're not liable for indirect or consequential damages. Our total liability is capped at the greater of $100 or what you paid us in fees over the past 6 months.
17. Indemnification
You agree to cover CharlieTalk for claims arising from your use of the Platform, your content, or your breach of these Terms.
18. Ending These Terms
You can close your Account anytime. We can suspend or terminate your Account for violations or extended inactivity. Key sections (ownership, restrictions, disclaimers, liability, etc.) survive termination.
19–20. Entire Agreement & Assignment
These Terms plus our Policies are the full agreement between us. You can't transfer your rights under these Terms without our consent; we can transfer ours freely.
21. Notices
We'll contact you by email or through the Platform — keep your email current. Formal legal notices go to [Insert Legal Entity Name], [Insert Legal Entity Address].
22–23. Governing Law & Disputes
Governed by the laws of [Insert Jurisdiction]. Contact customer service first to resolve disputes informally; unresolved disputes after 30 days proceed per [Insert Arbitration/Litigation Terms].

Ideas or suggestions you send us can be used freely, with no obligation to credit or pay you.

If part of these Terms is unenforceable, the rest still stands. Not enforcing a right once doesn't waive it later.
